1. Subject of Regulation

These terms and conditions govern:

• the real estate reservation process
• the contract conclusion process (Reservation Agreement, Future Purchase Agreement, Purchase Agreement)
• payment terms
• rights and obligations of the Buyer and the Developer
• warranty and claim conditions
• conditions for withdrawal from contracts

2. Reservation Process

• 2.1. A reservation can be made by signing a Reservation Agreement and paying the reservation fee.
• 2.2. The amount of the reservation fee will be specified in the particular Reservation Agreement.
• 2.3. The reservation fee is credited toward the total purchase price or becomes a contractual penalty if the interested party withdraws without a legal or contractual reason.
• 2.4. The Developer reserves the right to cancel the reservation in case of failure to meet the payment deadline or other obligations of the buyer.

3. Contracts Related to the Purchase Process

• 3.1. After payment of the reservation fee, a Future Purchase Agreement (FPA) is concluded.
• 3.2. The Purchase Agreement is concluded after the final inspection (kolaudácia) of the building or after fulfilling other conditions defined in the FPA.
• 3.3. All contracts must be concluded in writing.

4. Price and Payment Terms

• 4.1. The property price is established in the price offer or in the FPA.
• 4.2. Payments are made according to the schedule specified in the contracts.
• 4.3. The Developer has the right to change the price before signing the Reservation Agreement, but not after it has been concluded.
• 4.4. The Buyer agrees to pay all costs associated with the transfer of ownership (notary, land registry, bank fees), unless the parties agree otherwise.

5. Warranty Conditions and Claims

• 5.1. Handover will take place after the final inspection and payment of the full purchase price.
• 5.2. The Buyer has the right to inspect the property before signing the handover protocol.
• 5.3. Obvious defects must be stated in the handover protocol and the Developer will rectify them within a reasonable period.

6. Complaints and Warranty

• 6.1. The Developer provides a statutory warranty for the construction in accordance with the Civil Code.
• 6.2. Complaints must be submitted in writing and must include a description of the defect, photo documentation, and contact details.
• 6.3. The Developer is obliged to confirm receipt of the complaint and process it within the statutory period.

7. Withdrawal from the Contract

• 7.1. Withdrawal is only possible for legal or contractually specified reasons.
• 7.2. If the buyer withdraws without a reason, the reservation fee is forfeited to the Developer.
• 7.3. The Developer may withdraw in case of a gross breach of contractual obligations by the buyer (e.g., non-payment).

8. Final Provisions

• 8.1. The Developer reserves the right to make changes to the project if they do not affect its quality or functionality.
• 8.2. These terms and conditions may be updated; the valid version is available upon request or on the Project website.
• 8.3. Legal relationships are governed by the laws of the Slovak Republic.
